Terms of Service

Last updated: 14 September 2026

These terms govern your use of the Citlas Solutions website and form the basis of any engagement unless replaced by a signed proposal or service agreement.

Use of this website

Content on this site is provided for general information about our services. It does not constitute a binding offer, professional advice or a guarantee of results. You may not copy, reproduce or reuse our content, code samples or visuals without written permission.

Enquiries and quotations

Submitting an enquiry does not create a contract. Work commences only once a written scope and quotation have been accepted by both parties. Quotations are valid for 30 days unless stated otherwise.

Fees and payment

Fees, milestones and payment terms are set out in each written quotation. Unless agreed otherwise, a deposit is payable before development begins and the balance on delivery. Third-party costs such as hosting, domains and API usage are for the client's account.

Intellectual property

On receipt of full payment, ownership of the custom deliverables produced for the client transfers to the client. Citlas Solutions retains ownership of its pre-existing tools, libraries and know-how, and grants a perpetual licence to use them within the delivered work. Third-party and open-source components remain subject to their own licences.

Client responsibilities

The client is responsible for providing timely content, approvals, access and accurate information. Delays in these items may affect agreed timelines.

Warranties and liability

We deliver services with reasonable skill and care and correct reported defects in delivered work for 30 days after handover. To the maximum extent permitted by law, our total liability is limited to the fees paid for the affected engagement, and we are not liable for indirect or consequential loss, including loss of profit or data. Nothing in these terms limits rights that cannot lawfully be limited, including under the Consumer Protection Act 68 of 2008 where it applies.

Governing law

These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.
